General Assembly of Members

The supreme governing body of the Organization is the General Assembly of its members, which is convened at least once a year. By decision of the Board of the Organization, or either at the written request of the Fiscal Council, or at the request of at least 2/3 of the members of the Organization, or at the request of at least 2/3 of the separate departments, an unscheduled General Assembly must be convened within fifteen days. Each member of the Organization participating in the General Assembly has one vote.
The exclusive competence of the General Assembly of RUNY includes:
✔ approval of the Statute, making changes and additions to it;
✔ determination of the main areas of the Organization's activity;
✔ election of members and the Chairperson of the Management Board;
✔ approval of the annual financial report and budget of the Organization;
✔ election of the Fiscal Council, approval of its reports;
✔ approval of reports of the Chairperson of the Board of the Organization;
✔ resolving issues of reorganization and termination of the Organization;
✔ decision-making on termination of the Organization's activity, appointment of the liquidation commission, approval of the liquidation balance sheet.
Decisions of the General Assembly of members are taken by a simple majority of votes, provided that at least half of the members of the Organization participate in the voting.

Board of Directors

The decisions on the most important issues in the period between the General Assemblies is carried out by the Board of Directors of the Organization, which is headed by the Chairperson of the Board. The Board meets by necessity, but not less than once a year. Meetings of the Board are legitimate in the presence of two thirds of its members. Decisions are made by a majority vote, in case of equal distribution of votes, the Chairperson of the Board has the casting vote.
The powers of the Board include:
✔ promoting the diversification of activities of the Organization;
✔ making decisions on cooperation with international non-governmental organizations, signing international agreements;
✔ implementation of decisions of the General Assembly of members of the Organization;
✔ development of strategic tasks and plans of the Organization;
✔ definition of goals, objectives and forms of activity of the Organization;
✔ approval of the budget, projects and reports on their implementation;
✔ approval of symbols and attributes of the Organization;
✔ decision-making on the establishment of subdivisions of the Organization (as well as centers, clubs, and other structures established on the basis of the Organization) and approval of their provisions;
✔ election of the Deputy Chairperson of the Board - Executive Director in order to effectively carry out the activities of the Organization in accordance with the Statute;
✔ decision-making on the establishment of the Panel of Experts at the Organization and approval of the provisions on its activities in accordance with the Statute;
✔ determination of the time and place of the General Assembly and formation of its agenda;
✔ preparation of reports on the activities of the Organization for consideration by the Assembly;
✔ approval of projects and project applications (according to the strategy);
✔ involvement of independent experts;
✔ appointment of an audit for revision of the activities of the Organization.
The Board is elected and / or re-elected by the General Assembly of members of the Organization and consists of the Chairperson of the Board and at least two members. Elected members of the Board of Directors hold their position for five years. Decisions of the Board are formalized in the form of a protocol and are signed by the Secretary of the Board.

Chairperson of the Board

The Chairperson of the Board is a chief executive officer of the Organization and has general supervision over the business and operations of the Organization, subject to the control of the Board. The Chairman of the Board executes, in the name of the Organization, deeds, mortgages, bonds, contracts, and other instruments authorized by the Board, except in cases where the execution thereof shall be expressly delegated by the Board to some other officer or agent of the Organization. In general, the Chairperson of the Board performs all duties incident to the Office and other duties as may be assigned by the Board. The Chairperson of the Board is elected by the members of the General Assembly for a five-year term and may be re-elected.

Chairperson’s of the Board Powers and Duties:
✔ is the presiding officer of the Organization;
✔ has the usual appointive powers and exercises all the duties and responsibilities commonly associated with the Office, with the advice and consent of The Board, except for otherwise provided Bylaws;
✔ is responsible for the administration of the finances of the Organization subject to budgetary and other regulations approved by The Board;
✔ is the Organization’s fiscal agent in dealing with people or organizations;
✔ appoints staff of the Organization and is responsible for signing documents on behalf of the Organization;
✔ determines the agenda of the General Assembly and meetings of the Board of Directors;
✔ represents the Organization in Ukraine and abroad;
✔ approves programs and projects of the Organization;
✔ establishes contacts between RUNY and other organizations and structures;
✔ acts without a power of attorney on behalf of the Organization in relations with legal entities and individuals;
✔ manages the funds of the Organization in accordance with the defined areas of their use and within the approved budget on the basis of decisions of the Board;
✔ provides control over activities of subdivisions subordinated to the Organization, in particular, branches, affiliates and other legal entities established by the Organization;
✔ ensures the implementation of internal policies and rules of the Organization;
✔ approves the internal documents of the Organization;
✔ establishes forms and systems of remuneration of full-time and part-time employees;
✔ has other rights provided by the Statute and internal documents of the Organization.
Decisions of the Chairperson of the Board are formalized in a form of orders.

Executive Director

The Chairperson of the Board has the right to temporarily or permanently delegate the above mentioned powers to the Executive Director of the Organization.
The Executive Director of the Organization has the right to:
✔ represent the interests of the Organization in all institutions both on the territory of Ukraine and abroad;
✔ act without a power of attorney in relations with legal entities and individuals;
✔ coordinate the work of subordinate units of the Organization, in particular, branches, affiliates and other legal entities established by the Organization;
✔ with the consent of the Board carry out operational management of property and funds of the Organization;
✔ enter into civil-law contracts and agreements on behalf of the Organization;
✔ carry out other activities that are not within the competence of other bodies of the Organization and do not contradict the provisions of the Statute;
✔ has other rights provided by this Statute and internal documents of the Organization.
Decisions of the Executive Director are formalized in a form of orders.

Fiscal Council

The controlling body of RUNY is the Fiscal Council, which is elected and / or re-elected by the General Assembly of Members of the Organization in the number of not less than three people. The elected members of the Fiscal Council hold their positions for three years.
The powers of the Fiscal Council of the Organization include:
✔ receiving from the governing bodies and employees of the Organization any information on financial activities, including the attraction and use of funds and property;
✔ drawing conclusions and reports on the audit of the financial activities of the Organization.
The audit of activities of the Organization is carried out by the Fiscal Council once a year. The Fiscal Council has the right to demand from the officials of the Organization to provide it with all necessary materials, including accounting and other documents.
